Board of Directors
SALVATORE D. FAZZOLARI became Chief Executive Officer of Harsco Corporation on January 1, 2008 and also serves on the Company’s Board of Directors, to which he was elected in January 2002. It is expected that Mr. Fazzolari will be elected to become Chairman of the Board of Directors following the Annual Meeting of Stockholders in April 2008 following Mr. Hathaway’s retirement. Mr. Fazzolari has served in the senior management of Harsco Corporation since 1980, holding progressively responsible positions as Director of Auditing, Corporate Controller, Chief Financial Officer and Treasurer, and President. A graduate of Penn State University, Mr. Fazzolari is a Certified Public Accountant and a Certified Information Systems Auditor. He is a member of the American Institute of Certified Public Accountants and the Pennsylvania Institute of Certified Public Accountants. He is also a member of the Board of Directors of Susquehanna University and serves as an Advisory Board Member of Susquehanna’s Sigmund Weis School of Business.
GEOFFREY D. H. BUTLER serves as President of Harsco Corporation and Chief Executive Officer of the Access Services and Mill Services business groups. He previously served as Senior Vice President — Operations of the corporation since 2000 and as President of the MultiServ and SGB Divisions. Before that, he was President of the Heckett MultiServ - East Division and has also served in various officer positions within MultiServ International, N.V. prior to Harsco's acquisition of that corporation in 1993.
KATHY G. EDDY is a Certified Public Accountant and a founding partner of McDonough, Eddy, Parsons & Baylous, A.C., a Parkersburg, West Virginia-based public accounting and financial services corporation. She served as Chairman of the American Institute of Certified Public Accountants (AICPA) Board of Directors from 2000 to 2001 and has served on the AICPA Board, governing Council and numerous committees, including the Audit, Finance, Compensation, Strategic Planning, State Legislation and the Special Committee on Mobility. She has also served as Chair of the AICPA Special Committee on State Regulation. In addition, Ms. Eddy has been active in her home state serving as President of the West Virginia Society of Certified Public Accountants and as President of the West Virginia Board of Accountancy. She has been a Harsco Director since 2004. She is Chair of the Audit Committee and a member of the Executive Committee and the Nominating & Corporate Governance Committee.
TERRY D. GROWCOCK is the Chairman of The Manitowoc Company, a diversified industrial company that ranks as one of the world's largest providers of lifting equipment for the global construction industry. Manitowoc is also an industry leader for ice machines, ice-beverage equipment and commercial refrigeration equipment in the foodservice industry and for shipbuilding, ship repair and conversion services for the U.S. maritime industry. He has served as Chairman of The Manitowoc Company since October 2002, and served as Chief Executive Officer from 1998 until May 2007. Prior to joining Manitowoc in 1994, Mr. Growcock served in numerous management and executive positions with Siebe plc and United Technologies Corporation. Mr. Growcock also serves on the Board of Directors of Harris Corporation and Bemis Manufacturing Company. He is also Chairman of Wisconsin Manufacturers and Commerce, one of the state’s leading business associations. He joined the Harsco Board in January 2008.
JERRY J. JASINOWSKI is the former President of The Manufacturing Institute, the research and education affiliate of the National Association of Manufacturers (NAM), a business advocacy and policy association from which he recently retired as president after 14 years of service. Mr. Jasinowski is also an author and commentator on economic, industrial and governmental issues. He has been a Harsco Director since 1999. His former positions include Assistant Professor of Economics at the Air Force Academy, Director of Research at the Joint Economic Committee of Congress, Director of the Carter Administration’s Economic transition team, and Assistant Secretary of Policy at the U.S. Department of Commerce. Mr. Jasinowski is also a Director of The Phoenix Companies, Inc., The Timken Company and WebMethods, Inc. He is a member of the Compensation Committee and the Nominating & Corporate Governance Committee.
D. HOWARD PIERCE was President and CEO of ABB Inc., the US subsidiary of global industrial, energy and automation provider ABB from 1999 until his retirement in June 2001 and has held a number of international executive management positions within the ABB organization. He has been a Harsco Director since 2001. He is Chairman of the Compensation Committee and a member of the Executive Committee and Audit Committee.
CAROLYN F. SCANLAN is the President, Chief Executive Officer and Board Member of The Hospital and Healthsystem Association of Pennsylvania, a leading representation and advocacy organization for the medical field within Pennsylvania. She has served as Chairman of the Board of PHICO Group (a medical malpractice insurance company), and also served as Chairman of PHICO Insurance Company, a wholly-owned subsidiary of PHICO Group. She has been a Harsco Director since 1998. She is a member of the Audit Committee and the Compensation Committee.
JAMES I. SCHEINER is the Vice President of Century Engineering, an engineering and environmental company, where he previously served as President and Chief Operating Officer. During his career, Mr. Scheiner has served as Secretary of Revenue for the Commonwealth of Pennsylvania, and as Deputy Secretary for Administration within the Pennsylvania Department of Transportation. He is a Board Member of the Pennsylvania Chamber of Business and Industry. Mr. Scheiner has been a Harsco Director since 1995. He is a member of the Audit Committee and the Compensation Committee.
ANDREW J. SORDONI, III is the Chairman of Sordoni Construction Services, Inc. a regional building construction and management services company based in Pennsylvania, where he has been active since 1967. He is Director of Aqua America, Inc. Mr. Sordoni has been a Harsco Director since 1988. He is Chairman of the Nominating & Corporate Governance Committee and member of the Executive Committee and Compensation Committee.
DR. ROBERT C. WILBURN is the President of the Gettysburg Foundation, a nonprofit educational institution, and formerly served as President and Chief Executive Officer of the Colonial Williamsburg Foundation. Other former positions include Distinguished Service Professor at Carnegie Mellon University; President of Carnegie Institute and Carnegie Library, and Secretary of Education for the Commonwealth of Pennsylvania. He has been a Harsco Director since 1986 and currently serves as Lead Director. Dr. Wilburn is also a Director of Erie Indemnity Company. He is a member of the Executive Committee and Nominating & Corporate Governance Committee.
Executive Officers
SALVATORE D. FAZZOLARI serves as Chief Executive Officer. Before 2008, he served as President, Chief Financial Officer, and Treasurer having added the additional responsibilities of President in January 2006. During his more than 30 years of service to the company, Mr. Fazzolari’s executive management positions have included Senior Vice President and Chief Financial Officer, Vice President and Controller, and Controller.

RICHARD C. NEUFFER serves as Harsco Senior Vice President and Group President for the Company’s Minerals & Rail Services and Products group. Mr. Neuffer joined Harsco in 1991 and during his tenure has served as Vice President and General Manager of Harsco’s Patterson-Kelley, IKG Industries and Air-X-Changers units.
GARY J. FINDLING joined Harsco in October 2007 as Vice President and Treasurer. He previously served as Treasurer of Hayes Lemmerz International, and in senior treasury positions with Grove Worldwide and Aeroquip-Vickers Incorporated.
SCOTT H. GERSON serves as Vice President and Chief Information Officer. Prior to joining Harsco, Mr. Gerson was with Kulicke & Soffa Industries, Inc., a manufacturer of semiconductor assembly and test equipment, where he most recently served as IT director of their worldwide application services. He has also served in IT management capacities with Compaq Computers and TRW Inc.
MICHAEL A. HIGGINS joined Harsco in May 2007 and serves as Vice President – Internal Audit. Mr. Higgins was previously with Abbott Laboratories serving as Operations Controller, Plant Controller, and Director of Domestic Corporate Audit. In his most recent position, he was the Finance Director of Abbott’s Global Pharmaceutical Operation, based in Holland. He has also served with PricewaterhouseCoopers in Chicago.
MARK E. KIMMEL serves as Senior Vice President, General Counsel and Secretary. He previously served as General Counsel and Corporate Secretary since January 2004 and held senior legal positions since joining the company in August 2001. Mr. Kimmel served as Vice President, Administration and General Counsel of New World Pasta Company, and before that spent approximately 12 years in various legal positions with Hershey Foods Corporation.
MICHAEL H. KOLINSKY has been Vice President - Taxes of Harsco Corporation since August 2005. Before joining Harsco, he served as a Tax Consulting Senior Manager for Ernst & Young. Mr. Kolinsky has also served in various other tax roles with Grant Thornton and other organizations.
STEPHEN J. SCHNOOR serves as Senior Vice President and Chief Financial Officer. He had been serving as Vice President and Controller of the Corporation since May 1998. He previously served as Vice President and Controller of the Patent Construction Systems Division and has held various auditing positions for the corporation since joining Harsco in 1988. Mr. Schnoor previously served in various auditing positions for PricewaterhouseCoopers.
EUGENE M. TRUETT has been Vice President – Investor Relations and Credit since March 2005, and has led Harsco’s Investor Relations efforts since joining the corporation in 1995. Together with his investor relations responsibilities, Mr. Truett also provides senior direction to the corporation’s worldwide credit management programs. Before joining Harsco, Mr. Truett served as Assistant Treasurer - Credit Management and Investor Relations with PHH Corporation.
GERALD F. VINCI serves as Vice President Human Resources – Americas. He joined Harsco in January 1997 as Senior Counsel in the Legal Department. In 1998, he moved to the HR Department serving as Senior Director Human Resources and Employment Counsel. Prior to joining Harsco, Mr. Vinci worked as Legal Counsel for the Sun Company, Inc. in Philadelphia. He has been a member of the Pennsylvania Bar since 1990.
RICHARD M. WAGNER serves as Vice President and Controller. He joined Harsco in July 2007 and has been serving as Assistant Controller since that time. Prior to joining Harsco, Mr. Wagner held management responsibilities for financial reporting at Bayer Corporation in Pittsburgh, PA. He previously held a number of financial management positions both in the U.S. and internationally with Kennametal Inc., and also served as an audit manager with Deloitte & Touche.
