F. Nicholas Grasberger III (Director Since 2014)
was elected to the Board in 2014 following his appointment as President and Chief Executive Officer of the Company. He was named Chairman of the Board in October 2018. Mr. Grasberger joined Harsco in 2013 as Chief Financial Officer and has held progressively responsible financial and operations executive positions throughout his career. Prior to joining Harsco, Mr. Grasberger served as the Managing Director of the multinational Precision Polymers Division of Fenner Plc. Before joining Fenner, he served as the Chief Financial Officer of Armstrong Holdings, Inc., the parent company of Armstrong World Industries, and later as CEO of Armstrong’s Building Products division.

David C. Everitt (Director Since 2010)
currently serves as Independent Lead Director. He was named Non-Executive Chairman in August 2014, a role he held until October 2018. Mr. Everitt also served as Interim President and CEO during the period February – July 2014. He is the retired co-leader of Deere & Company’s Agriculture and Turf Division, that company’s largest operating group. During his 37-year career with Deere & Company, he served as President - North America, Asia, Australia, Sub-Saharan and South Africa, and Global Tractor & Turf Products. Mr. Everitt also serves on the Board of Directors for Allison Transmission, Brunswick Corp and Corteva, Inc. He is also a member of the Board of Directors of the National Business Aviation Association.

James F. Earl (Director since 2012)
is the retired Executive Vice President of Chicago-based GATX Corporation and President – GATX Rail International. He has served as an executive with GATX since 1988 and before that held management positions with two railroad companies, Soo Line Railroad and Southern Pacific Transportation Company. He is a past recipient of the Norman W. Seip Award for Industry Excellence in the rail finance industry. He also serves on the Board of Directors of Textainer Group Holdings Ltd. Mr. Earl is Chair of the Management Development & Compensation Committee and serves on the Nominating & Corporate Governance Committee.

Kathy G. Eddy (Director Since 2004)
is a Certified Public Accountant and a founding partner of McDonough, Eddy, Parsons & Baylous, AC, a Parkersburg, West Virginia-based public accounting and financial services corporation. She served as Chairman of the American Institute of Certified Public Accountants (AICPA) Board of Directors from 2000 to 2001 and has served on the AICPA's governing council and numerous committees. Ms. Eddy is Chair of the Nominating Corporate Governance Committee and a member of the Audit Committee.

Carolann I. Haznedar (Director Since 2018)
was appointed as a Director of Harsco Corporation in October 2018. Ms. Haznedar held various positions with E. I. du Pont de Nemours and Company from 1981 until June 2016. Most recently she served as Senior Vice President, Americas, DuPont Performance Materials from September 2015 until June 2016, Senior Vice President, Americas, Packaging & Industrial Polymers from October 2011 until September 2015, and Senior Vice President, Global Packaging & Industrial Polymers from July 2008 until October 2011. Prior to E. I. du Pont de Nemours and Company, Ms. Haznedar worked for EDO Aire Corporation. Ms. Haznedar also serves on the Board of Directors of Allison Transmission. Ms. Haznedar is a member of the Audit Committee and the Nominating and Corporate Governance Committee.

Timothy M. Laurion (Director Since 2023)
was appointed as a Director of Harsco Corporation in February 2023. Mr. Laurion is a retired Managing Director and Senior Corporate Banker in Bank of America’s Global Corporate and Investment Banking division. He spent more than 30 of his 41 years at Bank of America working in the Environmental Services sector having developed and maintained lead bank relationships as a C-suite trusted advisor with most of the nation’s top environmental and waste firms during his decades long career supporting this industry. Mr. Laurion is a Chartered Financial Analyst. He is a member of the Audit Committee and Governance Committee.

Edgar Purvis (Director Since 2018)
is the former Executive Vice President and Chief Operating Officer of Emerson Electric Co., a manufactured products and engineering services provider for a wide range of commercial, industrial, and consumer markets. Mr. Purvis was named Emerson’s EVP/COO in January 2015 — a role he held until his retirement in December 2017— after serving seven years as its Executive Vice President responsible for Climate Technologies. Prior to his appointment as EVP of Emerson Climate Technologies, Mr. Purvis held various leadership roles within the Climate business group. He began his career in 1983 as a product planner with Copeland Corporation, which was acquired by Emerson in 1986. Mr. Purvis serves on the Management Development & Compensation Committee and the Nominating & Corporate Governance Committee.

John S. Quinn (Director Since 2021)
currently serves as Chairman of the Audit Committee. Prior to this role, he served as Chief Executive Officer and Managing Director of LKQ Europe from 2015 to 2019 and Executive Vice President and Chief Financial Officer of LKQ Corporation from 2009 to 2015. Mr. Quinn has more than two decades of experience in waste and recycling where he held a series of senior leadership positions at Casella Waste Industries, Allied Waste Industries, Inc. (Republic Services Inc.) and Waste Management Inc / Waste Management International plc. He has been a member of the Board of Directors of Mekonomen AB, a company publicly listed on the Stockholm Stock Exchange, since 2017, serving on the Audit, Nomination and Remuneration Committees.

Phillip C. Widman (Director Since 2014)
is the retired Senior Vice President and CFO of Terex, a global manufacturer of customer-driven solutions for a wide range of commercial applications including construction, infrastructure, quarrying, mining, manufacturing, transportation, energy and utility services. Prior to that, Mr. Widman served as Executive Vice President and CFO of Philip Services Corporation, an integrated environmental and industrial services corporation. Mr. Widman also serves as a director of Sturm, Ruger & Company, Inc. and of Vectrus, Inc.

is Chairman and CEO of Harsco Corporation. Nick joined Harsco in 2013 as Chief Financial Officer; he was named President and CEO the following year, and elected Chairman in 2018. Before joining Harsco, Nick served as Managing Director of the Precision Polymers Division of Fenner PLC. Earlier, he spent four years with Armstrong World Industries, first as Senior Vice President and Chief Financial Officer, and later as Executive Vice President of Building Products and Asia-Pacific. Nick holds an MBA from the University of Pittsburgh’s Katz Graduate School of Business, and a BBA from University of Notre Dame.

Jay Cooney
serves as Chief Marketing and Communications Officer. In this role, Jay is responsible for both strategy and execution of Harsco’s internal and external communications, marketing, and branding initiatives. He joined Harsco in 2017 from PepsiCo, and has held multiple global leadership roles at Fortune 50 companies. Jay holds a JD from the University of Arizona College of Law and an MS in Broadcast Journalism from Northwestern University.

Pete Minan
serves as (Interim) Senior Vice President & Chief Financial Officer of Harsco Corporation. Pete returned to the Company to serve in this interim capacity in August 2022 after retiring as its Chief Financial Officer in March 2022. Before joining Harsco in November 2014, Pete had a nearly 30-year career with KPMG, where his roles included National Managing Partner, U.S. Audit Practice, and Partner in Charge, Washington/Baltimore Audit Practice. Named a partner in the firm in 1993, he also served as global lead partner for several multinational Fortune 500 industrial and consumer audit clients. His most recent role prior to Harsco was VP Enterprise Risk Management and Internal Audit with Computer Sciences Corporation. After retiring from Harsco, Pete began teaching as an adjunct Professor of Finance at Drexel University. He holds a bachelor’s degree in commerce from the University of Virginia’s McIntire School of Commerce.

Russell Hochman
serves as Senior Vice President, General Counsel, Chief Compliance Officer and Corporate Secretary. In this role, Russell leads our global legal, compliance, ethics and corporate secretary functions. Russell joined Harsco in 2013 as Assistant General Counsel; he was elevated to his current position the following year. He previously served in legal roles with Pitney Bowes, Inc. and international law firms based in New York. Russell holds a JD from Albany Law School of Union University and a BA from Cornell University.

Jennifer Kozak
serves as Senior Vice President and Chief Human Resources Officer. In this role, she leads the Company's Human Resources strategy worldwide, including culture and employee engagement, talent management, compensation, and benefits. Jennifer joined Harsco earlier this year as Vice President, Clean Earth Human Resources. Previously, she served in roles of increasing responsibility over the last 15 years with General Electric and subsequently SUEZ Water Technologies & Solutions. Jennifer holds an MBA from Penn State University and a BA from Temple University.

Russ Mitchell
serves as Vice President and Chief Operating Officer of our Environmental division, with oversight for Environmental's global operations. Russ joined Harsco in 2018 from Armstrong World Industries, where he served in progressively responsible roles before being named Senior Vice President of Global Technology in 2012. He holds an MBA from University of Alabama and a BS from Virginia Tech.

Michael S. Polcovich
serves as Vice President and Chief Financial Officer at Clean Earth. In this role, he is responsible for leading the evaluation and execution of Clean Earth's strategy, providing leadership to the financial, procurement, IT, business development, and commercial pricing organizations, as well as leading major growth initiatives. Michael joined Harsco in 2007 from public accounting and has served the Company in various progressive leadership positions, most recently as Vice President of Business Development and Corporate Strategy. Michael holds a Bachelor’s degree in Accounting from Susquehanna University and a Master’s degree in Taxation from Villanova University. He is a Certified Public Accountant.
